Our offers are non-binding. Subject to prior sale.

3. Pricing
The agreed prices are ex works Schaffhausen (Schaffhausen EXW - Incoterms 2000) excluding packing, shipping and other costs, such as customs duties, create pre-clearance or customs documents, etc. These are billed separately. Assembly costs and any applicable fees like crane trucks are charged to the buyer.
VAT is not included in the price; it is stated separately in the statutory amount in the bill.

4. Terms of payment
Our invoices have to be paid in advance.

5. Pic-up times
The handing over of machinery / equipment can only take place during our normal operating times and without affecting the operational process. Because of that you must coordinate the pick-up date with us. Claims for waiting times are excluded.

6. Liability and warranty
All machinery and equipment are sold from ground and/or location as viewed, and in the condition in which they are located in contracting with only the existing equipment, and without any warranty and under exclusion of liability for defects.
For the correctness of technical data and year of construction for the completeness of accessories and tooling as well as compliance with all accident prevention regulations of the safety requirements, we assume no liability.
The buyer has the right to examine and inspect the machines / equipment before contracting. If he doesn’t or only partial exercise this right, the buyer accepted the contract and the state of delivery at face value as contracted. Loading and proper securing of the machinery / equipment on the vehicle is with handing over matter of the buyer. For any damages caused during the loading and during transportation of the machinery / equipment, including third parties, the buyer shall be liable. 7. Retention of title
We deliver only on the basis of retention of title or of extended retention of title, so we reserve the right of ownership of the machines / facilities until final payment of the invoice before. We are entitled to repossess the object of sale, if the buyer breaches the contract. This also applies to all future deliveries, even if we do not always explicitly refer to this.

8. Jurisdiction
Jurisdiction is our place of business, even if the buyer has no general jurisdiction, domicile or habitual residence at the time of institution of proceedings in Switzerland.
The law of Switzerland is only valid. The application of the CISG is excluded, even if the buyer is a foreigner or has its registered office abroad.
